VaultSync for Obsidian — End User License Agreement (EULA) and Terms of Use

This is the VaultSync End User License Agreement and Terms of Use. The same text is provided as the custom License Agreement on the VaultSync App Store product page; this document mirrors it for in-app and web reference.


IMPORTANT — PLEASE READ CAREFULLY

This End User License Agreement ("Agreement") is a binding legal agreement between you ("you" or the "End-User") and Umut Erdem, an individual developer domiciled in Switzerland ("Licensor", "Developer", "we", "us", or "our"), governing your use of the VaultSync for Obsidian application, including all of its software, updates, and accompanying documentation (collectively, "VaultSync" or the "Application").

VaultSync is distributed through the Apple App Store. By downloading, installing, accessing, or using VaultSync, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, do not download, install, or use VaultSync.

This Agreement is the custom end user license agreement and the Terms of Use for VaultSync. It applies instead of Apple's standard Licensed Application End User License Agreement (the "Apple Standard EULA"). Where the App Store or the Application presents a "Terms of Use" link, it refers to this Agreement. Your purchases and your relationship with Apple are also subject to the Apple Media Services Terms and Conditions. Nothing in this Agreement is intended to provide usage rules for VaultSync that conflict with the Apple Media Services Terms and Conditions; in the event of such a conflict, the Apple Media Services Terms and Conditions prevail to the extent of the conflict.

1. Acknowledgement — This Agreement Is With the Developer, Not Apple

You and the Licensor acknowledge that this Agreement is concluded between you and the Licensor only, and not with Apple Inc. or any of its subsidiaries ("Apple"). The Licensor, not Apple, is solely responsible for VaultSync and its content. This Agreement does not provide for any usage rules for VaultSync that are in conflict with the Apple Media Services Terms and Conditions as of the Effective Date (which you acknowledge you have had the opportunity to review).

2. The Application and What It Does

VaultSync is an independent iOS and iPadOS application that synchronizes Obsidian vaults between your own devices using the Syncthing protocol. Files are synchronized directly, peer to peer, between the devices and servers that you configure. VaultSync is fully functional as a free application and does not require any purchase.

VaultSync is independent software and is not affiliated with, endorsed by, or sponsored by Obsidian (Dynalist Inc.) or the Syncthing project. "Obsidian", "Syncthing", and other product names are trademarks of their respective owners and are used only to describe interoperability.

3. License Grant and Scope of License

Subject to your compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use VaultSync. This license is limited to use of VaultSync on any Apple-branded products that you own or control and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that VaultSync may be accessed and used by other accounts associated with you (the purchaser) through Apple Family Sharing or volume purchasing.

You may not, except to the extent permitted by applicable law or by the open-source license referred to in Section 4: rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the compiled Application; or remove, obscure, or alter any proprietary notices.

4. Open-Source Code

The VaultSync source code is published by the Licensor under the Mozilla Public License, version 2.0 (MPL-2.0). The MPL-2.0 governs your rights to view, build, fork, and modify the source code, and those rights are not affected by this Agreement.

This Agreement governs your use of the compiled, signed Application as distributed through the Apple App Store, including the optional paid features described in Sections 5 and 6. VaultSync also incorporates third-party components (including Syncthing) that are licensed to you under their own respective open-source licenses; nothing in this Agreement limits your rights, or adds to your obligations, under those licenses with respect to those components.

5. Cloud Relay — Optional Auto-Renewable Subscription

VaultSync offers an optional auto-renewable subscription called "Cloud Relay". VaultSync remains fully functional without it; the subscription is entirely optional.

  • Title: Cloud Relay
  • Type: Auto-renewable subscription, billed through your Apple Account
  • Duration: 1 month (recurring monthly)
  • What it does: While subscribed, when files change on your home server a silent push notification wakes VaultSync so that server-to-iPhone synchronization happens promptly, without you having to open the app. The relay transmits only an anonymous wake-up signal; it never receives the contents, names, or metadata of your notes or files.
  • Price: The price is shown to you in the App Store and inside the app before you purchase, localized to your storefront and currency. As of the effective date, the price in the United States storefront is USD 0.99 per month; the price applicable to you is always the price displayed at the time of purchase.

Auto-renewal terms:

  • Payment will be charged to your Apple Account at confirmation of purchase.
  • The subscription automatically renews for successive one-month periods at the price shown, unless it is canceled at least 24 hours before the end of the current period.
  • Your Apple Account will be charged for renewal within 24 hours prior to the end of the current period, at the price shown.
  • You can manage your subscription, view the renewal price, and turn off auto-renewal at any time in your Account Settings on the App Store after purchase. Cancellation takes effect at the end of the current billing period; you keep access to Cloud Relay until then.
  • If a free trial or introductory offer is ever offered and you accept it, any unused portion of that free trial period will be forfeited when you purchase the subscription, and the trial duration and the price charged after the trial ends will be disclosed to you before purchase.

Billing, renewal, and any refunds are handled by Apple. The Licensor does not process, store, or have access to your payment details.

6. Voluntary Contributions — Optional One-Time Purchases

VaultSync offers optional one-time in-app purchases named "Small Contribution" and "Big Contribution" (the "Contributions"). The Contributions exist solely to let you voluntarily support the continued development of VaultSync, as a tip to the Developer.

  • The Contributions are entirely voluntary. You never have to make a Contribution, and you may make a Contribution as many times as you like.
  • A Contribution unlocks nothing. It does not enable, activate, or provide any feature, content, functionality, license, entitlement, level, virtual item, or other benefit, and it gives you no claim to any goods, services, or other consideration in return. VaultSync remains fully functional whether or not you ever make a Contribution.
  • A Contribution is NOT a charitable donation or gift. It is not made to any charity, non-profit, or fundraiser, it is not tax-deductible, and it is not collected for any charitable cause. The recipient is the Developer, and the Contribution supports the Developer's ongoing work on VaultSync.
  • The Contributions are "consumable" in-app purchases. They are consumed at the time of purchase, cannot be restored, transferred, or reused, are not recoverable through any "Restore Purchases" function, and are purchased only through Apple's In-App Purchase system.
  • As of the effective date, the prices in the United States storefront are USD 2.99 ("Small Contribution") and USD 9.99 ("Big Contribution"); the price applicable to you is the price displayed at the time of purchase, localized to your storefront.

The Contributions are separate from, and unrelated to, the Cloud Relay subscription in Section 5. Making a Contribution does not grant, extend, or affect any subscription.

7. Purchases, Billing, Taxes, and Refunds

All purchases within VaultSync — both the Cloud Relay subscription and the Contributions — are made exclusively through Apple's In-App Purchase system. Apple acts as the merchant and seller of record for these purchases. Billing is handled by Apple through your Apple Account, and applicable taxes are included or added as shown by Apple at the time of purchase.

Refunds are handled solely by Apple in accordance with the Apple Media Services Terms and Conditions. The Licensor cannot grant, and does not guarantee, any refund. If you wish to request a refund, you may do so through Apple (for example, at reportaproblem.apple.com), and the decision is made by Apple.

Where you are a consumer, you may have a statutory right of withdrawal ("cooling-off" right) in relation to your purchase. Because Apple is the seller of record, this right, and any exception to it, is governed by the Apple Media Services Terms and Conditions and applicable law. In particular, for digital content that is supplied immediately, the right of withdrawal may be lost once supply has begun with your prior express consent and your acknowledgement that you thereby lose that right. Nothing in this Agreement removes or reduces any mandatory consumer rights that the law of your country of residence grants you.

8. Consent to Use of Data and Privacy

The Licensor's data practices are described in the VaultSync Privacy Policy, available at: https://github.com/psimaker/vaultsync/blob/main/PRIVACY.md

VaultSync is designed to keep your data on your own devices. The Application itself does not collect personal data, and it uses no third-party analytics, tracking, or advertising. Only if you choose to use the optional Cloud Relay subscription does VaultSync process the minimal routing information described in the Privacy Policy (your Syncthing Device ID, your Apple Push Notification service device token, and your App Store transaction ID), which is used solely to deliver the wake-up notifications; the contents, names, and metadata of your notes and files never leave your own server.

To the extent the Licensor collects any technical data and related information (such as information about your device, system, and application software) that is gathered periodically to facilitate software updates, support, and other services related to VaultSync, you agree that the Licensor may use such information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you, all in accordance with the Privacy Policy and applicable law.

9. Maintenance and Support

The Licensor is solely responsible for providing any maintenance and support services for VaultSync, as required by applicable law or as the Licensor elects to provide. Support is offered on a best-effort basis through the contact details in Section 19 and through the VaultSync GitHub repository. You and the Licensor acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services for VaultSync.

10. Warranty

The Licensor is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed below. In the event of any failure of VaultSync to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of VaultSync to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to VaultSync, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of the Licensor.

Except for the foregoing, and to the maximum extent permitted by applicable law, VaultSync is provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind. The Licensor disclaims all warranties and conditions, whether express, implied, or statutory, including but not limited to the implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. The Licensor does not warrant that VaultSync will be uninterrupted or error-free, that it will meet your requirements, that defects will be corrected, or that synchronization will always be timely or complete.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so the above exclusions and limitations may not apply to you. Where you are a consumer, you may have legal rights (including mandatory warranty rights) that this Agreement cannot exclude or limit; nothing in this Agreement affects those rights.

11. Limitation of Liability

To the extent not prohibited by applicable law, in no event shall the Licensor be liable for personal injury or for any incidental, special, indirect, or consequential damages whatsoever, including but not limited to damages for loss of profits, corruption or loss of data, loss of notes or files, failure to transmit or receive any data, business interruption, or any other commercial damages or losses, arising out of or related to your use of or inability to use VaultSync, however caused, regardless of the theory of liability (contract, tort, or otherwise), even if the Licensor has been advised of the possibility of such damages.

To the extent not prohibited by applicable law, the Licensor's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) shall not exceed the amount of fifty US dollars (USD 50.00).

Some jurisdictions do not allow the limitation of liability for personal injury, or of incidental or consequential damages, so the above limitation may not apply to you. Nothing in this Agreement excludes or limits the Licensor's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intent or gross negligence, or for any other liability that cannot be excluded or limited under applicable mandatory law (including mandatory consumer-protection law). Because you are responsible for your own data, you are strongly encouraged to maintain regular, independent backups of your vaults.

12. Your Data and Your Responsibilities

You are solely responsible for the data, notes, and files that you choose to synchronize with VaultSync, and for configuring which folders are synchronized. VaultSync accesses only the folders that you explicitly select. You are responsible for maintaining your own backups. You agree not to use VaultSync for any unlawful purpose or in any way that infringes the rights of others.

13. Product Claims

You and the Licensor acknowledge that the Licensor, not Apple, is responsible for addressing any claims by you or any third party relating to VaultSync or your possession and/or use of VaultSync, including but not limited to: (i) product liability claims; (ii) any claim that VaultSync fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit the Licensor's liability to you beyond what is permitted by applicable law.

14. Intellectual Property Rights

As between you and the Licensor, the Licensor (and its licensors) retains all right, title, and interest in and to VaultSync, except for the rights expressly granted to you in this Agreement and under the open-source licenses referred to in Section 4.

You and the Licensor acknowledge that, in the event of any third-party claim that VaultSync, or your possession and use of VaultSync, infringes that third party's intellectual property rights, the Licensor, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

15. Third-Party Services and Third-Party Terms

VaultSync may enable access to services, software, and servers operated by you or by third parties (collectively, "External Services"), including the Syncthing protocol and software, your own home server and the optional vaultsync-notify container, the central Cloud Relay service, and the Apple Push Notification service. You agree to use the External Services at your sole risk. The Licensor is not responsible for examining or evaluating the content, accuracy, or availability of third-party External Services, and is not liable for them. You acknowledge that External Services may be changed, suspended, removed, or unavailable at any time.

You must comply with any applicable third-party terms of agreement when using VaultSync. For example, you must not violate your wireless data service or other network agreement when using VaultSync, and you must comply with the applicable terms of any third-party software or service (such as Obsidian and Syncthing) that you use together with VaultSync.

16. Legal Compliance and Export

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

You agree that you will not use or otherwise export or re-export VaultSync except as authorized by United States law and the laws of the jurisdiction in which VaultSync was obtained. In particular, but without limitation, VaultSync may not be exported or re-exported (a) into any U.S.-embargoed countries, or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List.

17. Term and Termination

This Agreement is effective until terminated by you or the Licensor. Your rights under this Agreement will terminate automatically, without notice, if you fail to comply with any of its terms. Upon termination, you must stop all use of VaultSync and delete all copies of the Application that are within your control. Sections that by their nature should survive termination — including Sections 1, 4, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 18, 19, 20, and 21 — survive termination. Termination of this Agreement does not entitle you to any refund; refunds (if any) are handled solely by Apple as described in Section 7.

18. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

VaultSync is offered worldwide. This choice of law does not deprive you, where you are a consumer, of the protection afforded to you by the mandatory provisions of the law of your country of habitual residence, and this Agreement applies to you only to the extent permitted by the mandatory law (including consumer-protection law) that applies to you. If you are a consumer habitually resident in a member state of the European Union, Switzerland, Norway, or Iceland, the governing law and the competent forum shall be the laws and courts of your place of habitual residence.

19. Developer Name, Address, and Contact

Any questions, complaints, or claims with respect to VaultSync should be directed to the Licensor:

In accordance with European Union Digital Services Act transparency requirements, the Licensor's full trader contact details (registered name, postal address, and telephone number) are on file with Apple and are displayed on the VaultSync App Store product page.

20. Apple as Third-Party Beneficiary

You and the Licensor acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of it.

21. General

Changes. The Licensor may update this Agreement from time to time, for example to reflect changes in VaultSync, in the law, or in the Apple terms. The updated version will be made available with a new "Last updated" date, and your continued use of VaultSync after an update takes effect constitutes your acceptance of the updated Agreement, except where additional consent is required by applicable law. Material changes will, where reasonable, be communicated through the app or the App Store listing.

Entire agreement. This Agreement, together with the Privacy Policy, the Apple Media Services Terms and Conditions, and the open-source licenses referred to in Section 4, constitutes the entire agreement between you and the Licensor regarding VaultSync and supersedes all prior understandings regarding the Application.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. The failure of the Licensor to enforce any right or provision of this Agreement will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer this Agreement or any of your rights under it. The Licensor may assign this Agreement in connection with a transfer of VaultSync, subject to applicable law.

Language. This Agreement is provided in English, and the English version controls. Any translations are provided for convenience only.

By downloading, installing, or using VaultSync, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms.
