Beta Tester Edition - Valid until FileTrace v1.0 Commercial Launch
This agreement governs your use of the FileTrace Beta. A finalized EULA and Privacy Policy will be provided upon the official commercial release of the software.
IMPORTANT - READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you, either an individual or a single entity, and FileTrace ("Licensor") for the FileTrace software product, which includes computer software and may include associated media, printed materials, online documentation, or electronic documentation ("Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
Subject to your compliance with the terms of this EULA and payment of applicable fees, or acceptance of a Beta Tester invite, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of personal computers specified by your purchased license tier.
Node-Locking: The license key provided to you is tied to your specific hardware. You may not share, distribute, or resell your license key.
Reverse Engineering: You may not reverse engineer, decompile, or disassemble the Software.
No Unlawful Use: You may not use the Software to organize, distribute, or process illegal content.
The Software may utilize third-party application programming interfaces (APIs), including The Movie Database (TMDB) and AcoustID, to fetch metadata, artwork, and music identification data. Automated subtitle downloading is not included in the beta or version 1 release, but may return in a future update.
FileTrace is not endorsed by or affiliated with TMDB or AcoustID. Licensor does not guarantee the uptime, accuracy, or continued availability of any third-party API.
The Software licensed under this agreement is a pre-release Beta version. It may not operate correctly and may be substantially modified prior to its first commercial release. The Software is provided for testing purposes only.
You acknowledge that the Software may contain bugs, errors, and other problems that could cause system crashes, interruptions, or data loss. Licensor strongly advises against using the Software on critical or irreplaceable files without a complete, verified backup.
As a beta tester, you may provide suggestions, bug reports, or feedback regarding the Software. By providing feedback, you grant Licensor a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate this feedback into FileTrace without any obligation or compensation to you.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
FileTrace is a utility designed to read, rename, modify, and organize files on your local hard drive. Licensor strongly recommends that you maintain a secure backup of your files before using the Software. Licensor does not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, FILE CORRUPTION, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU ASSUME FULL RESPONSIBILITY FOR THE SELECTION OF THE SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS, AND FOR THE INSTALLATION, USE, AND RESULTS OBTAINED FROM THE SOFTWARE.
Without prejudice to any other rights, Licensor may terminate this EULA if you fail to comply with its terms and conditions. In such an event, you must destroy all copies of the Software in your possession.
