This Contributor License Agreement ("Agreement") documents the rights granted by contributors to Codex VS Code Problems. It is adapted from the Harmony contributor agreement templates and uses the contributor license model, not copyright assignment.
For this Agreement, "We" or "Us" means Chris Wright as the current maintainer of Codex VS Code Problems, together with any successor maintainer or entity that receives stewardship of the project and agrees to the obligations in this Agreement.
This Agreement takes effect on the earlier of:
- the date You first Submit a Contribution to Codex VS Code Problems
- the date You otherwise indicate agreement in writing, including through a pull request or similar contribution workflow
Do not Submit a Contribution unless You can agree to these terms.
"You" means the individual copyright owner, or the legal entity authorized by the copyright owner, that is making this Agreement with Us. For legal entities, all entities that control, are controlled by, or are under common control with that entity are considered a single contributor.
"Contribution" means any work of authorship that is intentionally Submitted by You to Us for inclusion in, or documentation of, Codex VS Code Problems, where You own or assert ownership of the relevant copyright and other rights needed to grant this Agreement.
"Copyright" means all rights protecting works of authorship owned or controlled by You, including copyright, moral rights, and neighboring rights to the extent applicable.
"Material" means the Codex VS Code Problems repository and any project materials managed by Us to which the Contribution is Submitted.
"Submit" or "Submitted" means any form of electronic, verbal, or written communication sent to Us or our representatives for the purpose of discussing, reviewing, or improving the Material, including source control systems, pull requests, issue trackers, and direct patches, but excluding any communication that You clearly mark as "Not a Contribution."
"Submission Date" means the date on which You Submit a Contribution.
You retain ownership of the Copyright in Your Contribution.
To the maximum extent permitted by law, You grant to Us a perpetual, worldwide, non-exclusive, transferable, royalty-free, irrevocable license under the Copyright covering the Contribution, with the right to sublicense through multiple tiers of sublicensees, to reproduce, modify, display, perform, distribute, relicense, and otherwise exploit the Contribution as part of the Material or derivative works of the Material.
For patent claims that You own, control, or have the right to grant, now or in the future, You grant to Us a perpetual, worldwide, non-exclusive, transferable, royalty-free, irrevocable patent license, with the right to sublicense through multiple tiers of sublicensees, to make, have made, use, sell, offer for sale, import, and otherwise transfer the Contribution and the Contribution in combination with the Material.
This license applies only to the extent that the exercise of the licensed rights would otherwise infringe those patent claims.
As a condition on the grants above, if We include Your Contribution in Codex VS Code Problems, We will also make it available under the repository license or licenses in use for the relevant material on the Submission Date.
In addition, We may license the Contribution under any other license or agreement, including commercial, proprietary, source-available, or open-source licenses.
If moral rights apply to the Contribution, to the maximum extent permitted by law, You waive and agree not to assert them against Us, our successors in interest, or our licensees.
We are not obligated to use, merge, distribute, or continue using any Contribution.
Any rights not expressly granted under this Agreement are reserved by You.
You confirm that:
- You have the legal authority to enter into this Agreement.
- You own or control the rights needed to grant the licenses in Section 2.
- Granting these rights does not violate any agreement with a third party, including an employer or client.
- If an employer, client, or other third party may own rights in the Contribution, You have obtained the approvals needed before Submitting it.
- Each Contribution is Your original creation, or You have fully disclosed the source and any applicable restrictions before Submitting it.
- You will notify Us if You become aware of facts that make any of these representations inaccurate.
Except for the express representations in Section 3, the Contribution is provided "AS IS", without warranties or conditions of any kind, express or implied, including any warranties of title, non-infringement, merchantability, or fitness for a particular purpose.
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, special, incidental, consequential, or exemplary damages arising out of this Agreement.
