Contributor License Agreement (CLA)

Thank you for contributing to agentctl. To keep the project's dual-licensing model viable — the contract and SDK under Apache-2.0, the control plane under the Business Source License with a commercial-licensing option (see LICENSE) — the project must hold sufficient rights in every contribution. This CLA grants those rights. It does not transfer ownership: you keep the copyright in your contribution.

This is a template adapted from the Apache Individual CLA. Have it reviewed by counsel before relying on it. For real enforcement, collect agreement per pull request (e.g. via a CLA bot such as CLA-assistant or the DCO Signed-off-by line), not just by the presence of this file.

You accept and agree to the following terms for your present and future Contributions submitted to the project. Except for the licenses granted here, You reserve all right, title, and interest in and to Your Contributions.

  1. Definitions. "You" means the individual or legal entity making a Contribution. "Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the project for inclusion in, or documentation of, any of the products owned or managed by the project.

  2. Copyright license. You grant to the project maintainer (Andrii Tsok) and to recipients of software distributed by the project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works, under any license terms, including the Apache-2.0, Business Source License, and a separate commercial license under which the project is made available. This relicensing right is what enables the project's open-source and commercial offerings.

  3. Patent license. You grant to the project maintainer and to recipients of software distributed by the project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated below) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the work to which it was submitted.

  4. You may submit. You represent that You are legally entitled to grant the above licenses. If Your employer has rights to intellectual property You create, You represent that You have received permission to make the Contribution on behalf of that employer, or that Your employer has waived such rights, or that the employer has executed a separate Corporate CLA.

  5. Original work. You represent that each of Your Contributions is Your original creation. You may submit work that is not Your original creation only if it is clearly identified as such, with its source and any license or other restriction of which You are aware.

  6. No warranty / support obligation. You are not expected to provide support for Your Contributions, except to the extent You desire to. Contributions are provided "AS IS", without warranties or conditions of any kind, to the extent permitted by law.

By submitting a Contribution (for example, by opening a pull request), You indicate agreement to this CLA for that Contribution.
